Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and cileria GmbH, a company incorporated under the laws of the Federal Republic of Germany (“cileria”, “we”, “us”, or “our”), governing your access to and use of the Node Architect SaaS platform (the “Platform”), the Node Architect desktop application (the “App”), and all related services, APIs, websites, and documentation (collectively, the “Services”).
BY CREATING AN ACCOUNT, DOWNLOADING THE APP, OR OTHERWISE USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Definitions
- “Account” means your registered user account on the Platform.
- “API Key” means the unique authentication token issued to you for accessing the Node Architect API.
- “App” means the Node Architect desktop application for macOS, Linux, or Windows.
- “Content” means any source code, files, data, text, or other materials you submit to or process through the Services.
- “LLM Provider” means a third-party large language model provider (such as Anthropic or OpenAI) used by the Services to perform AI-powered analysis.
- “Platform” means the Node Architect web application, including the dashboard, account management, and billing interface.
- “Subscription” means your paid or trial access plan as described in Section 5.
- “Tokens” means the unit of measurement for LLM usage consumed when using the Services.
2. Eligibility
- You must be at least 16 years old to use the Services.
- You must provide accurate, complete, and current registration information and keep it updated.
- You are responsible for maintaining the confidentiality of your account credentials and API Key. You are fully responsible for all activities that occur under your account.
- You must immediately notify us at support@cileria.com if you become aware of any unauthorized use of your account or API Key.
3. The Services
3.1 Description
Node Architect is an AI-powered tool that analyzes software project architectures and generates interactive dependency graphs. The Services include: (a) The Platform — web-based account management, usage analytics, billing, and API key management. (b) The App — a desktop application that connects to the Node Architect API or directly to third-party LLM providers to perform project analysis. (c) The API — a server-side interface that processes analysis requests, manages sessions, and tracks token usage.
3.2 Service Modes
The App operates in two modes:
- NodeArchitect API Mode — analysis requests are routed through our API servers. Token usage is tracked and deducted from your account balance.
- Direct LLM Mode — analysis requests are sent directly from the App to your chosen LLM provider (Anthropic or OpenAI) using your own API key. In this mode, cileria does not process your Content, does not track token usage, and bears no responsibility for the interaction between you and the LLM provider.
3.3 AI-Generated Output
Analysis results, architecture graphs, node summaries, and edge analyses are generated by artificial intelligence and are provided on an “AS IS” basis. You acknowledge that: (a) AI-generated output may be inaccurate, incomplete, or misleading. (b) You are solely responsible for reviewing, validating, and deciding whether to rely on any AI-generated output. (c) cileria does not warrant the correctness, reliability, or fitness of AI-generated output for any particular purpose.
4. Account Registration and Security
- You may register using email and password or Google OAuth2. Email registrations require email verification before the account becomes active.
- Each individual may maintain only one active account. We reserve the right to merge or terminate duplicate accounts.
- Your API Key is equivalent to a password. You must keep it confidential, not embed it in publicly accessible code, and regenerate it immediately if you suspect it has been compromised.
- You are liable for all token usage incurred through your API Key, regardless of whether such usage was authorized by you.
- We may suspend or terminate your account immediately and without prior notice if we reasonably believe you are violating these Terms, engaging in fraudulent activity, or posing a security risk to the Services.
5. Subscriptions, Pricing, and Payment
5.1 Plans
- Free Trial — 7 days, 100,000 tokens, no credit card required.
- Premium — 1,000,000 tokens per month for $8.99/month (USD).
- Premium Plus — 2,000,000 tokens per month for $14.99/month (USD).
5.2 Billing
Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize cileria to charge your payment method on a recurring basis until you cancel.
5.3 Price Changes
We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing cycle. We will notify you at least 30 days in advance of any price increase.
5.4 Token Quota and Overage
Tokens reset at the beginning of each billing cycle. Unused tokens do NOT roll over to the next cycle. When your token balance reaches zero, API requests will be rejected until your balance resets or you upgrade your plan. There is no overage billing.
5.5 Cancellation
You may cancel your subscription at any time. Upon cancellation:
- You retain access to the Services until the end of your current billing period.
- Your token balance is forfeited at the end of the billing period.
- Your account remains accessible in a limited (read-only) state.
- No refunds are provided for partial billing periods.
5.6 Refund Policy
All fees are non-refundable except where required by applicable law.
5.7 Taxes
All prices are exclusive of applicable taxes. You are responsible for any VAT, sales tax, or other taxes imposed by your jurisdiction. For EU business customers, reverse charge mechanism applies where applicable.
6. Acceptable Use
You agree NOT to:
- Use the Services to process Content that you do not have the right to analyze.
- Attempt to reverse-engineer, decompile, or disassemble the App, Platform, or API, except as permitted by applicable law.
- Circumvent, disable, or interfere with security features, rate limits, token budgets, or authentication mechanisms of the Services.
- Use the Services to develop a competing product or service.
- Share, resell, sublicense, or transfer your account or API Key to any third party.
- Use automated scripts, bots, or other tools to access the Services in a manner that exceeds reasonable use or imposes an unreasonable load on our infrastructure.
- Transmit viruses, malware, or any code of a destructive nature through the Services.
- Use the Services for any purpose that is unlawful or prohibited by these Terms.
The API is subject to rate limits (currently 60 requests/minute for session creation and 300 requests/minute for tool results). We reserve the right to adjust these limits at any time. We reserve the right to throttle, suspend, or terminate accounts that exhibit abusive or excessive usage patterns.
7. Intellectual Property
7.1 Our IP
The Services, including the App, Platform, API, documentation, user interface, designs, algorithms, and all related intellectual property, are and remain the exclusive property of cileria GmbH. These Terms do not grant you any ownership rights in the Services.
7.2 License to Use the Services
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and to download, install, and use the App on devices you own or control. This license terminates automatically upon termination of your account or these Terms.
7.3 Your Content
You retain all ownership rights in your Content. By submitting Content to the Services, you grant cileria a limited, non-exclusive, royalty-free license to process your Content solely for the purpose of providing the Services. This license terminates when your session ends or your account is deleted.
7.4 AI Output
cileria does not claim ownership of AI-generated output. However, cileria makes no representations regarding intellectual property rights in AI-generated output, and you use such output at your own risk.
7.5 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant cileria a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without obligation to you.
8. Data and Privacy
Our Privacy Policy describes how we collect, use, and protect your personal data. The Privacy Policy is incorporated into these Terms by reference.
When using NodeArchitect API Mode, your source code is transmitted to our API server and forwarded to LLM providers for AI analysis. Source code is held only in transient memory for the duration of the analysis session. It is NOT written to disk or persistently stored on our servers. We do NOT use your source code for training AI models.
9. Third-Party Services
The Services integrate with third-party services, including Anthropic and OpenAI (LLM providers), Stripe (payment processing), and Google (OAuth2 authentication). Your use of third-party services is governed by their respective terms of service and privacy policies. cileria is not responsible for the availability, accuracy, or practices of third-party services.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CILERIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT AI-GENERATED ANALYSIS RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR THAT DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT THE SERVICES RELY ON ARTIFICIAL INTELLIGENCE THAT MAY PRODUCE INCORRECT, INCOMPLETE, OR MISLEADING OUTPUT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CILERIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
CILERIA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO CILERIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (b) FIFTY EUROS (€50.00).
These limitations do not apply to liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or gross negligence or willful misconduct (Vorsatz oder grobe Fahrlässigkeit under German law).
12. Indemnification
You agree to indemnify, defend, and hold harmless cileria GmbH from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to: your use of the Services; your Content; your violation of these Terms or any applicable law; your negligent or wrongful acts or omissions; or any third-party claim arising from your use of the Services in Direct LLM Mode.
13. Term and Termination
These Terms are effective from the date you first access the Services and continue until terminated. You may terminate at any time by canceling your subscription and deleting your account. We may terminate or suspend your account for cause (immediately upon notice for breach) or without cause (with 30 days' written notice).
Upon termination:
- Your license to use the Services terminates immediately.
- You must cease all use of the App and delete all copies.
- Your API Key is immediately invalidated.
- No refunds are provided for any prepaid fees.
14. Modifications to the Services and Terms
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be submitted to the exclusive jurisdiction of the courts in Berlin, Germany, unless mandatory consumer protection laws of your country of residence provide otherwise.
Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days.
16. Force Majeure
cileria shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including natural disasters, pandemics, war, government actions, power outages, internet failures, third-party service provider outages, or cyberattacks.
17. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and cileria regarding the Services.
- Severability: If any provision is held invalid, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any right shall not constitute a waiver.
- Assignment: You may not assign these Terms without our consent. cileria may assign freely.
- No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship.
- Notices: Notices to cileria must be sent to legal@cileria.com.
- Language: These Terms are drafted in English. In the event of a conflict with any translation, the English version prevails.
